Strategy & analysis
Before anything changes, you need a clear picture: where are you, where do you want to go, and what lies in between?
Target picture - The concretely described target state: what's different if this succeeds? Without a target picture you optimise into thin air. That's why it always comes first for us.
Current state - The honest inventory of how your company and workflows really work today. Not how they look on paper.
Gap analysis - The systematic comparison of current state and target picture. The gap between them shows where the biggest levers are and what to tackle first.
Benchmarking - Comparing against other companies or best practices to realistically judge where you stand and what's possible.
Best practice - A proven approach that has worked in comparable situations. Inspiration, not a template to copy.
TAM / SAM / SOM - Three levels of market size: the total theoretical market (TAM), the part you can serve (SAM) and the share you can realistically win (SOM). Your focus.
SWOT analysis - The structured look at strengths, weaknesses, opportunities and threats. A classic that creates clarity fast when used properly.
Business plan - Translating analysis and concept into a concrete, prioritised plan. Not as prose, but as a documented structure you can work through.
Roadmap - The schedule with phases and milestones: what happens when, in what order, and how do we recognise progress?
Milestone - A clearly defined checkpoint in the project where result and direction get reviewed. Before building further.
KPI (key metric) - A key figure you measure impact against - lead time, error rate or staff turnover, for example. What gets measured gets managed.
ROI (return on investment) - The ratio of return to input. Shows whether a measure pays off. And makes consulting honestly verifiable.
Stakeholder - Everyone affected by a project or able to influence it: team, leadership, partners, suppliers. Ignore them and they're what you'll fail on.
Use case - A concrete application that makes benefit and approach tangible. Small enough to start with, big enough to learn from.
Recommendation - A reasoned, prioritised recommendation of what to do. Including effort, impact and sequence.
Process management
Processes are how your company actually works. These terms make workflows visible, comparable and improvable.
Process - A recurring sequence of steps with a defined start, end and result - from request to invoice, for example.
Core process - The workflows that create value for your customers directly: request, quote, order, delivery, handover.
Support process - Workflows that carry the core processes: HR, IT, finance, knowledge. Invisible, but decisive for speed and quality.
Management process - Strategy, steering and controlling. The workflows by which the company itself is run.
Process landscape - The complete overview of all management, core and support processes and how they interact. The map of your company.
Process modelling - Making a workflow visible in a structured way, usually graphically: who does what, when, with what? The basis of every improvement.
Current/target process - The workflow as it runs today (current) and the optimised version as it should run (target). The difference is the value added.
BPMN - Business Process Model and Notation: the international standard for representing processes graphically and unambiguously. A shared language for everyone involved.
Lead time - The time from start to completion of a process. One of the most honest metrics, because it makes waiting time and friction visible.
Bottleneck - The point in a workflow where things pile up and which sets the pace for everything. Clear the bottleneck and you speed up the whole process.
Media break - Switching between systems or formats mid-workflow - from the email inbox to the Excel sheet to the paper form. One of the most common sources of error.
Waste - Anything in a process that costs effort but creates no value: waiting, duplicate work, searching, unnecessary steps. From lean management (Japanese “muda”).
Lean management - A way of thinking that looks at processes strictly from customer value and removes everything superfluous. Leaner, not more hectic.
CIP / Kaizen - Continuous improvement process: many small steps instead of one big transformation. Small changes with large effects.
Standardisation - The best known way becomes the agreed way. Not as a straitjacket, but as a reliable base to improve from.
Checklist / SOP - The documented work instruction for recurring tasks. Rule of thumb: anything that happens twice gets a checklist.
Process documentation - Recording how workflows function so knowledge stays with the company instead of hanging on individual people.
Process mining - Analysing real system data to see how processes actually run - often surprisingly different from what everyone assumed.
RACI - A responsibility matrix: who does the work (Responsible), who decides (Accountable), who is consulted (Consulted), who is informed (Informed)?
Interface - The handover point between two areas, people or systems. This is where most misunderstandings arise. And the biggest chances to improve.
Digitalisation & AI in everyday work
Technology is a tool, not an end in itself. These terms help you think about digital decisions from the process - not from the hype.
Digitalisation - Moving workflows into digital form. Important: a bad process just becomes a fast bad process once digitised. Understand first, digitise second.
Digital transformation - More than software: changing how a company works and decides. Above all a cultural matter. Acceptance decides success.
Quick win - A measure that works fast and visibly. In mid-sized business more valuable than the perfect large project, because it creates trust and momentum.
ERP - Enterprise Resource Planning: the central system connecting inventory, orders, purchasing and finance. The backbone of many companies.
CRM - Customer Relationship Management: a system that bundles all customer contacts, cases and history so nothing gets lost.
DMS - Document management system: the central, searchable filing for documents. The end of “where's the current version again?”
Workflow - A digitally mapped, partly automated workflow - an invoice approval that automatically routes to the right person, for example.
Automation vs. optimisation - Optimising means making the workflow better; automating means letting software handle it. The right order: optimise first, automate second.
System selection - The structured path to the right tool: define requirements, survey the market, compare, decide. Based on your needs, not the hype.
RFI / RFP - Request for Information / Request for Proposal: structured enquiries to vendors so systems and offers can be compared fairly and fully.
AI as a sparring partner - Artificial intelligence as a tool in daily work: structuring text, preparing knowledge, speeding up routines. AI doesn't replace processes. It builds on them.
Prompt - The work instruction you give an AI. The clearer the prompt, the better the result. Good prompting is structured thinking in written form.
Knowledge management - Handling company knowledge systematically: capture it, document it, make it accessible - so it stays with the company, not with individuals.
Data quality - The reliability of your data: complete, current, unambiguous. Every analysis and every automation is only as good as the data beneath it.
HR & change
Change happens through people, or not at all. These terms describe how HR work and change become something that lasts.
Recruiting - The structured path from requirement to selection: who exactly do we need, how do we recognise fit, how do we decide fairly and reliably?
Role requirements - The clear description of what a role actually needs: tasks, skills, experience. The best insurance against bad hires.
Bad hire - A hire that doesn't fit. Costs 50-200 % of an annual salary depending on the role, more at leadership level. Plus time, nerves and team morale.
Staff turnover - The rate at which employees leave the company. High turnover is rarely bad luck - usually a pattern with findable causes.
Onboarding - The structured induction of new employees: roles, workflows, contacts, first wins. Decides in the first weeks whether someone stays.
Role clarity - The clear answer to: who is responsible for what? Unclear roles are one of the most common causes of friction and frustration.
Org chart - The overview of roles and responsibilities. Valuable when every box has a name. And honestly shows where scaling needs people first.
Empowerment - Enabling employees to take responsibility - with knowledge, tools and backing. So capability and decision-making grow inside the company.
Change management - Guiding change in a structured way: involve people early, explain the why, make wins visible. The difference between 88 % and 13 % goal achievement.
Resistance - The normal human reaction to change. Not a sign of bad will, but of uncertainty. And resolvable through involvement and communication.
Involvement - Turning those affected into participants: people who help shape it, help carry it. The most effective lever for acceptance.

Sign-up takes place using the double opt-in procedure: after submitting the form, you receive an e-mail containing a confirmation link. 8. Online-based audio and video conferences
Data processing
We use online conference tools, among other things, for communication with our customers. If you communicate with us by video or audio conference using the Internet, your personal data will be collected and processed by the provider of the respective conference tool and by us.
The conferencing tools collect all information that you provide in order to use the tools (email address and/or your phone number). Furthermore, the conference tools process the duration of the conference, start and end of participation, number of participants and other context information related to the communication process (metadata). Furthermore, the provider of the tool processes all technical data required for the processing of the online communication.
The conference tools are used to communicate with prospective or existing contractual partners or to offer certain services to our customers (Art. 6(1)(b) GDPR). Furthermore, the use of the tools serves to generally simplify and accelerate communication (Art. 6(1)(f) GDPR). Insofar as consent has been requested, the tools in question will be used on the basis of this consent; the consent may be revoked at any time with effect for the future.
Zoom
We use Zoom. The provider of this service is Zoom Communications Inc., 55 Almaden Boulevard, 6th Floor, San Jose, CA 95113, USA. 9. Processing of customer and contract data
We collect, process, and use personal customer and contract data for the establishment, content arrangement and modification of our contractual relationships. Data with personal references to the use of this website (usage data) will be collected, processed, and used only if this is necessary to enable the user to use our services or required for billing purposes. The legal basis for these processes is Art. 6(1)(b) GDPR.
The collected customer data shall be deleted upon completion of the order or termination of the business relationship and upon expiration of any existing statutory archiving periods.
We share personal data with third parties only if this is necessary in conjunction with the handling of the contract. Any sharing of your data with third parties in the absence of your express consent, for instance for advertising purposes, shall not occur.

§ 1 Geltungsbereich
(1) Diese Allgemeinen Geschäftsbedingungen gelten für alle Verträge zwischen dem Anbieter und seinen Kunden über Leistungen im Bereich Unternehmensberatung, Prozessmanagement, HR & Change sowie angrenzender Analyse-, Konzeptions-, Schulungs- und Umsetzungsleistungen.
(2) Das Angebot des Anbieters richtet sich ausschließlich an Unternehmer im Sinne des § 14 BGB, juristische Personen des öffentlichen Rechts und öffentlich-rechtliche Sondervermögen. Verträge mit Verbrauchern im Sinne des § 13 BGB werden nicht geschlossen; mit Abgabe einer Bestellung bestätigt der Kunde, als Unternehmer zu handeln.
(3) Entgegenstehende oder von diesen AGB abweichende Bedingungen des Kunden werden nicht Vertragsbestandteil, es sei denn, der Anbieter stimmt ihrer Geltung ausdrücklich in Textform zu. Dies gilt auch, wenn der Anbieter in Kenntnis entgegenstehender Bedingungen die Leistung vorbehaltlos erbringt.
(4) Diese AGB gelten in ihrer jeweils bei Vertragsschluss gültigen Fassung auch für künftige Geschäfte mit demselben Kunden, ohne dass es eines erneuten Hinweises bedarf.
§ 2 Leistungen und Zusammenarbeitsmodelle
(1) Der Anbieter erbringt seine Leistungen in drei Zusammenarbeitsmodellen: Full-Service (der Anbieter übernimmt die Umsetzung nach Onboarding und Freigaben des Kunden), Consulting (gemeinsame Erarbeitung der Ergebnisse mit dem Kunden, monatliches Modell mit vereinbartem Stundenkontingent) und Advisory (Sparring und Begleitung zu konkreten Fragestellungen des Kunden, monatliches Modell). Maßgeblich für Art und Umfang der Leistungen ist die Leistungsbeschreibung im jeweiligen Angebot.
(2) Beratungs-, Begleit- und Betreuungsleistungen - insbesondere in den Modellen Consulting und Advisory - sind Dienstleistungen im Sinne der §§ 611 ff. BGB; ein bestimmter wirtschaftlicher Erfolg wird nicht geschuldet. Soweit im Angebot konkrete Arbeitsergebnisse als Werkleistung vereinbart sind (z. B. die Erstellung von Analysen, Konzepten, Prozessdokumentationen, Roadmaps oder Schulungsunterlagen), gelten ergänzend die Regelungen zu Abnahme und Gewährleistung (§§ 7 und 11).
(3) Der Anbieter schuldet keine bestimmten wirtschaftlichen Ergebnisse wie Umsatz-, Effizienz- oder Fluktuationswerte. Diese hängen wesentlich von Faktoren ab, auf die der Anbieter keinen Einfluss hat - insbesondere von der Umsetzung durch den Kunden, dem Verhalten Dritter und der Marktentwicklung.
§ 3 Vertragsschluss
(1) Angebote des Anbieters sind 30 Kalendertage ab Angebotsdatum bindend, soweit im Angebot nichts anderes bestimmt ist.
(2) Der Vertrag kommt durch Beauftragung des Kunden in Textform (z. B. E-Mail) oder durch Unterzeichnung des Angebots zustande. Mündliche Nebenabreden bestehen nicht; Änderungen und Ergänzungen bedürfen der Textform.
§ 4 Mitwirkungspflichten des Kunden
(1) Der Kunde stellt dem Anbieter rechtzeitig und unentgeltlich alle für die Leistungserbringung erforderlichen Informationen, Unterlagen, Daten, Zugänge und Freigaben zur Verfügung und benennt einen entscheidungsbefugten Ansprechpartner.
(2) Für Feedback und Freigaben gilt eine Frist von 10 Werktagen ab Bereitstellung, soweit nicht anders vereinbart. Erfolgt innerhalb der Frist keine Rückmeldung, ist der Anbieter berechtigt, auf Basis des bereitgestellten Standes fortzufahren; vereinbarte Termine verschieben sich entsprechend.
(3) Verzögerungen, die auf unterlassene oder verspätete Mitwirkung des Kunden zurückgehen, gehen nicht zulasten des Anbieters. Vereinbarte Fristen verlängern sich angemessen; nachweisbarer Mehraufwand kann nach Aufwand zu dem im Angebot vereinbarten Stundensatz berechnet werden.
(4) Der Kunde sichert zu, dass die von ihm bereitgestellten Informationen und Unterlagen frei von Rechten Dritter sind, die einer vertragsgemäßen Nutzung entgegenstehen, und stellt den Anbieter von entsprechenden Ansprüchen Dritter auf erstes Anfordern frei. Für die Richtigkeit und Vollständigkeit der vom Kunden bereitgestellten Daten ist der Kunde verantwortlich; darauf aufbauende Analysen stehen unter dem Vorbehalt dieser Datenbasis.
§ 5 Vergütung und Zahlungsbedingungen
(1) Es gelten die im jeweiligen Angebot vereinbarten Preise. Alle Preise verstehen sich zuzüglich Umsatzsteuer, soweit diese anfällt. Hinweis: Der Anbieter wendet derzeit die Kleinunternehmerregelung nach § 19 UStG an; Umsatzsteuer wird in diesem Fall nicht ausgewiesen.
(2) Bei Projektleistungen (Full-Service) sind 50 % der Vergütung bei Beauftragung und 50 % bei Abnahme fällig. Bei Projekten mit einem Auftragswert ab 10.000 € netto gilt: 40 % bei Beauftragung, 30 % bei vereinbarter Zwischenabnahme, 30 % bei Endabnahme. Die Leistungserbringung beginnt nach Eingang der ersten Rate.
(3) Monatliche Modelle (Consulting, Advisory) werden monatlich im Voraus in Rechnung gestellt.
(4) Rechnungen sind innerhalb von 14 Tagen ab Rechnungsdatum ohne Abzug zahlbar. Bei Zahlungsverzug gelten die gesetzlichen Regelungen (§ 288 Abs. 2 BGB: Verzugszinsen in Höhe von 9 Prozentpunkten über dem Basiszinssatz sowie die Pauschale von 40 €).
(5) Vereinbarte Stundenkontingente der monatlichen Modelle gelten je Kalendermonat. Nicht genutzte Stunden verfallen ohne Übertrag oder Erstattung; die Vergütung honoriert auch die Vorhaltung der Kapazität. Absehbare Überschreitungen der im Angebot vereinbarten Kontingentgrenzen zeigt der Anbieter vorab an; Mehrstunden werden nach Aufwand zum vereinbarten Stundensatz abgerechnet.
(6) Bei monatlichen Modellen kann der Anbieter die Vergütung frühestens nach Ablauf der Mindestlaufzeit mit einer Ankündigungsfrist von 3 Monaten in Textform anpassen. Bei einer Erhöhung von mehr als 5 % innerhalb von 12 Monaten steht dem Kunden ein Sonderkündigungsrecht zum Zeitpunkt des Wirksamwerdens zu.
(7) Der Kunde kann nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen aufrechnen. Zurückbehaltungsrechte stehen ihm nur aus demselben Vertragsverhältnis zu.
§ 6 Leistungsänderungen (Change Requests)
(1) Änderungs- oder Erweiterungswünsche des Kunden sind in Textform mitzuteilen. Der Anbieter prüft die Auswirkungen auf Vergütung und Termine und unterbreitet ein Nachtragsangebot.
(2) Bis zur Einigung über den Nachtrag wird die Leistung auf Basis des ursprünglichen Auftrags fortgesetzt, soweit dies sinnvoll möglich ist; andernfalls können die betroffenen Arbeitspakete ausgesetzt werden.
§ 7 Korrekturschleifen und Abnahme
(1) Bei Werkleistungen sind je Leistungsgegenstand zwei Korrekturschleifen im vereinbarten Preis enthalten. Weitere Korrekturschleifen sowie Änderungen, die über die ursprüngliche Leistungsbeschreibung hinausgehen, werden nach Aufwand zum vereinbarten Stundensatz berechnet.
(2) Nach Fertigstellung stellt der Anbieter das Arbeitsergebnis zur Abnahme bereit. Die Abnahme gilt als erklärt, wenn der Kunde nicht innerhalb von 10 Werktagen nach Bereitstellung wesentliche Mängel in Textform rügt oder wenn er das Arbeitsergebnis produktiv nutzt (z. B. Umsetzung eines Konzepts oder Einsatz einer Prozessdokumentation im Geschäftsbetrieb). Auf diese Wirkung wird der Anbieter bei Bereitstellung hinweisen.
(3) Unwesentliche Mängel berechtigen nicht zur Verweigerung der Abnahme; ihre Beseitigung erfolgt im Rahmen der Gewährleistung.
§ 8 Laufzeit und Kündigung
(1) Projektverträge enden mit Abnahme bzw. vollständiger Erbringung der vereinbarten Leistungen.
(2) Monatliche Modelle (Consulting, Advisory) haben eine Mindestlaufzeit von 3 Monaten. Danach verlängert sich der Vertrag jeweils um einen weiteren Monat, wenn er nicht mit einer Frist von 4 Wochen zum Monatsende in Textform gekündigt wird.
(3) Das Recht beider Parteien zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt. Ein wichtiger Grund für den Anbieter liegt insbesondere vor, wenn der Kunde mit der Zahlung von zwei Monatsvergütungen in Verzug ist.
(4) Im Fall der Kündigung sind die bis zum Wirksamwerden erbrachten Leistungen zu vergüten. § 9 (Rechteeinräumung erst mit vollständiger Zahlung) bleibt unberührt.
§ 9 Nutzungs- und Urheberrechte
(1) Die vom Anbieter erstellten Arbeitsergebnisse (insbesondere Analysen, Konzepte, Prozessmodelle und -dokumentationen, Roadmaps, Vorlagen, Checklisten und Schulungsunterlagen) sind urheberrechtlich geschützt, soweit sie die erforderliche Schöpfungshöhe erreichen.
(2) Mit vollständiger Zahlung der vereinbarten Vergütung räumt der Anbieter dem Kunden ein einfaches, zeitlich und räumlich unbeschränktes Nutzungsrecht an den vertragsgegenständlichen Arbeitsergebnissen für dessen eigene Geschäftszwecke ein. Die Einräumung ausschließlicher Nutzungsrechte, die Übertragung von Rechten auf Dritte sowie eine über den Vertragszweck hinausgehende Bearbeitung bedürfen einer gesonderten Vereinbarung.
(3) Die vom Anbieter eingesetzten Methoden, Frameworks, Vorlagenstrukturen und das dahinterstehende Know-how verbleiben beim Anbieter und dürfen von diesem uneingeschränkt weiterverwendet werden. Arbeitsdateien und Rohformate sind nicht Vertragsgegenstand und werden nur gegen gesonderte Vergütung herausgegeben.
(4) Entwürfe, Präsentationen und Konzepte, die nicht beauftragt werden, verbleiben mit allen Rechten beim Anbieter und dürfen vom Kunden nicht verwendet werden.
(5) Für Fremdmaterialien (z. B. Softwarelizenzen, Vorlagen Dritter, KI-generierte Inhalte) gelten die Lizenzbedingungen der jeweiligen Anbieter; der Anbieter weist dem Kunden die erworbenen Lizenzen auf Wunsch nach und reicht deren Bedingungen durch.
§ 10 Fremdleistungen und Drittanbieter
(1) Der Anbieter ist berechtigt, zur Leistungserbringung Subunternehmer einzusetzen. Für deren Handeln haftet er wie für eigenes Handeln (§ 278 BGB).
(2) Verträge über Leistungen von Drittanbietern (z. B. Software-Lizenzen, Tools, Systeme, Schulungsplattformen) kommen unmittelbar zwischen dem Kunden und dem jeweiligen Anbieter zustande; deren laufende Kosten trägt der Kunde. Der Anbieter berät bei der Auswahl (z. B. im Rahmen von RFI/RFP) und verwaltet die Leistungen im vereinbarten Umfang.
(3) Für Änderungen, Einschränkungen oder Ausfälle durch Dritte (z. B. Software- und Systemanbieter) ist der Anbieter nicht verantwortlich, soweit er sie nicht zu vertreten hat.
§ 11 Gewährleistung
(1) Bei Mängeln von Werkleistungen leistet der Anbieter zunächst Nacherfüllung nach seiner Wahl durch Nachbesserung oder Neuherstellung. Schlägt die Nacherfüllung zweimal fehl, stehen dem Kunden die gesetzlichen Rechte zu.
(2) Offensichtliche Mängel sind innerhalb von 10 Werktagen nach Abnahme in Textform zu rügen. Die handelsrechtliche Untersuchungs- und Rügepflicht (§ 377 HGB) bleibt für Kaufleute unberührt.
(3) Mängelansprüche verjähren in 12 Monaten ab Abnahme. Dies gilt nicht in den Fällen des § 12 Abs. 1 sowie bei arglistigem Verschweigen eines Mangels.
§ 12 Haftung
(1) Der Anbieter haftet unbeschränkt für Vorsatz und grobe Fahrlässigkeit, für die schuldhafte Verletzung von Leben, Körper oder Gesundheit, nach dem Produkthaftungsgesetz, bei arglistigem Verschweigen von Mängeln sowie im Umfang einer übernommenen Garantie.
(2) Bei einfach fahrlässiger Verletzung wesentlicher Vertragspflichten (Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertrauen darf) ist die Haftung auf den vertragstypischen, bei Vertragsschluss vorhersehbaren Schaden begrenzt. Im Übrigen ist die Haftung für einfache Fahrlässigkeit ausgeschlossen.
(3) Die Haftung nach Abs. 2 ist der Höhe nach begrenzt auf den Auftragswert des betroffenen Auftrags, bei monatlichen Modellen auf die Summe der Vergütung der letzten 12 Monate vor dem schädigenden Ereignis.
(4) Unternehmerische Entscheidungen trifft der Kunde in eigener Verantwortung. Empfehlungen des Anbieters entbinden den Kunden nicht von der eigenen Prüfung und Entscheidung.
(5) Für den Verlust von Daten haftet der Anbieter nach Maßgabe der Absätze 1 bis 3 nur insoweit, als der Schaden auch bei ordnungsgemäßer, regelmäßiger Datensicherung durch den Kunden entstanden wäre. Der Kunde ist für eine regelmäßige Sicherung seiner Daten verantwortlich.
(6) Die vorstehenden Haftungsbeschränkungen gelten auch zugunsten der Mitarbeiter und Erfüllungsgehilfen des Anbieters.
§ 13 Vertraulichkeit
(1) Beide Parteien verpflichten sich, alle im Rahmen der Zusammenarbeit erlangten Geschäftsgeheimnisse im Sinne des GeschGehG sowie sonstige als vertraulich gekennzeichnete Informationen vertraulich zu behandeln und nur für die Zwecke des Vertrags zu verwenden. Dies umfasst insbesondere auch Prozess-, Personal- und Unternehmensdaten, die dem Anbieter im Rahmen von Analysen zugänglich werden.
(2) Diese Pflicht besteht für die Dauer von 3 Jahren nach Vertragsende fort. Gesetzliche Offenlegungspflichten bleiben unberührt.
§ 14 Datenschutz
(1) Die Parteien beachten die anwendbaren Datenschutzvorschriften, insbesondere die DSGVO. Dies gilt in besonderem Maße für Leistungen mit Bezug zu Personaldaten (z. B. Recruiting- und HR-Themen).
(2) Soweit der Anbieter im Rahmen der Leistungserbringung personenbezogene Daten im Auftrag des Kunden verarbeitet, schließen die Parteien vor Beginn der Verarbeitung einen Vertrag über Auftragsverarbeitung nach Art. 28 DSGVO. Ein entsprechendes Muster stellt der Anbieter bereit.
§ 15 Referenznennung
(1) Der Anbieter ist berechtigt, den Kunden unter Nennung von Name und Logo als Referenz zu benennen und die für den Kunden erbrachten Leistungen in anonymisierter oder - nach Freigabe - konkreter Form darzustellen (z. B. als Projektgeschichte oder Case Study), soweit dabei keine vertraulichen Informationen offengelegt werden.
(2) Der Kunde kann der Referenznennung jederzeit mit Wirkung für die Zukunft in Textform widersprechen.
§ 16 Keine Rechts- und Steuerberatung
Leistungen des Anbieters stellen keine Rechts- oder Steuerberatung dar. Die rechtliche Prüfung von Verträgen, Formularen und sonstigen Unterlagen - insbesondere arbeitsrechtlicher Dokumente im Rahmen von HR-Themen - obliegt dem Kunden bzw. dessen rechtlichen und steuerlichen Beratern; der Anbieter strukturiert insoweit die Fragestellungen, setzt Freigaben des Kunden um und koordiniert auf Wunsch die Einbindung externer Berater.
§ 17 Schlussbestimmungen
(1) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG).
(2) Ist der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus und im Zusammenhang mit dem Vertrag Mönchengladbach. Der Anbieter ist daneben berechtigt, am allgemeinen Gerichtsstand des Kunden zu klagen.
(3) Änderungen und Ergänzungen des Vertrags einschließlich dieser Klausel bedürfen der Textform.
(4) Sollten einzelne Bestimmungen dieser AGB ganz oder teilweise unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. Anstelle der unwirksamen Bestimmung gilt die gesetzliche Regelung.
